Sole Proprietorship – is a business owned by one person. A sole proprietor can do any type of business that they would like but it is limited to a single owner.
Fictitious Name – When a person or a group of people operate a business under a name other than their given name or corporate name, they are said to be operating under a “Fictitious Name”. As such, they must register with the State of Florida and follow the Florida Statutes regulating publication and notification requirements for a fictitious name. 865.09 Fictitious name registration.
Partnerships - means an entity, having one or more general partners and one or more limited partners, which is formed under Florida law by two or more persons or becomes subject to this act as the result of a conversion or merger under this act, or which was a limited partnership governed by the laws of this state.
Professional Organizations - Any profession regulated by the state of Florida must be organized under Florida Statute 621. Professional organizations have special rules for ownership and operation.
Limited Liability Company - is a organization formed under Florida Statute 608. The organization is owned by "Members" who hold units of the company. The organizational structure provides liability protection for its owners by limiting liability to the capital owned by the company.
Corporation - is a organization formed under Florida Statute 607. The organization is owned by "shareholders" who hold share of the company. The orgainzational structure provides liabitity protection fors is owners by limiting liability to the capital owned by the company. The difference between a limited liabilty company and a corporation is the manner in which the profits are shared with its owners. Please ask us for more information.
